Small-scale merger announcement

MindwareWorks Co., Ltd. and Mindware Service Co., Ltd. have entered into a merger agreement and, pursuant to Article 527-3 of the Commercial Act, have decided to replace the general meeting of shareholders approving the merger agreement with the approval of the board of directors. Shareholders who object are requested to submit their objection by 11 May 2026.

4. Merger date: 15 June 2026

5. Guidance on exercising an objection

a. Procedure: a shareholder objecting to replacing the general meeting of shareholders approving the merger agreement with the approval of the board of directors submits a completed notice

b. Submission period: 27 April 2026 to 11 May 2026

c. Method and place: submit to the management support office at the head office of MindwareWorks Co., Ltd. within the submission period

d. Pursuant to Article 527-3 of the Commercial Act, if shareholders holding 20/100 or more of the total number of issued shares give notice of objection, approval of the general meeting of shareholders must be obtained
